These Terms of Service ("Terms") govern your access to and use of the Vaulton software application ("Software") provided by IVONU ("we," "us," or "our"). By downloading, installing, or utilizing the Software, you ("User") agree to be bound by these Terms.

1. License Grant and Restrictions

Subject to these Terms, we grant you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Software strictly in accordance with these Terms. You shall not:

  • Decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the Software;
  • Make any modification, adaptation, improvement, enhancement, translation, or derivative work from the Software;
  • Violate any applicable laws, rules, or regulations in connection with your access or use of the Software.

2. Nature of the Software

Vaulton is designed as an offline, standalone desktop application. It does not synchronize data with remote servers, nor does it require the creation of a user account with us. All data processing and storage occur exclusively on your local hardware.

3. Master Password and Data Security

Access to the Software is secured locally via a Master Password established by the User. You acknowledge and agree to the following:

  • You bear sole responsibility for the confidentiality and retention of your Master Password.
  • Due to the decentralized, offline architecture of the Software, we lack the technical capability to reset, recover, or bypass your Master Password.
  • Failure to retain your Master Password will result in permanent and irrevocable loss of access to the encrypted data stored within the Software.

4. User Responsibilities

You assume full responsibility for the implementation of appropriate backup strategies. We highly recommend utilizing the Software's export functionality to maintain secure backups of your data. Furthermore, you are solely responsible for maintaining the physical and logical security of the device upon which the Software is installed.

5. Intellectual Property Rights

The Software, including without limitation all copyrights, patents, trademarks, trade secrets, and other intellectual property rights therein, are, and shall remain, the sole and exclusive property of IVONU.

6. Disclaimer of Warranties

The Software is provided to you "AS IS" and "AS AVAILABLE" with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, we expressly disclaim all warranties, whether express, implied, statutory, or otherwise, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

7. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall IVONU or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, business interruption, or any other commercial damages or losses, arising out of or related to your use or inability to use the Software, regardless of the theory of liability.

8. Indemnification

You agree to indemnify, defend, and hold harmless IVONU and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind arising from or relating to your use or misuse of the Software or your breach of these Terms.

9. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use the Software after revisions become effective, you agree to be bound by the revised terms.
